Membership Terms of Service

Important Notice
This Membership Agreement includes terms to arbitrate and consent to electronic communications. It governs your access to and use of services provided by Onfire Health, Inc. Please read carefully before using the Services. By accessing or using the Services you agree to be bound by these Terms.
Important Notice
THIS AGREEMENT IS SUBJECT TO MANDATORY ARBITRATION PURSUANT TO THE FEDERAL ARBITRATION ACT AND A WAIVER OF CLASS ACTION AND JURY TRIAL. PLEASE CAREFULLY READ SECTION 20 (ARBITRATION).
Membership
Member hereby agrees to enroll and use the Onfire Health solution ("Membership Program") beginning on the Effective Date of your Membership. Member shall be eligible to receive certain discounts, incentives, interest-free financing, payment tools, and other solutions described in the Onfire Health Plan Terms ("Membership Services"), which are incorporated into this Agreement by reference and published at onfirehealth.com/plan-terms. Onfire Health may expand, reduce, or otherwise modify the Membership Services from time to time with notice to Members.
Membership Fees
Where applicable to your Membership Plan, the Member agrees to pay an annual fee ("Membership Fee") in accordance with the Onfire Health published pricing for your specific plan tier. If a Membership Fee applies to your plan, it shall be disclosed and due upon enrollment in the Membership Program and at each anniversary of the Effective Date. The Membership Fee allows Members and their Families to participate in the Membership Program for the full year following payment.
Onfire Health Membership Account
Upon enrollment, Onfire Health will establish an Onfire Health Membership Account ("Membership Account") for your use. The Membership Account is a financial account that allows you to pay for longevity, functional medicine, wellness, and other related services from a curated network of Onfire Health partners and affiliates as described in the applicable Plan Terms. Onfire Health offers two categories of Membership Plan, each with a different structure for funding and using the Membership Account, as described in the Plan Terms.
Linked Bank Account
By accepting this agreement, you authorize Onfire Health to collect amounts owed to us through a linked bank account. Auto-debit from a linked bank account is required for all Membership Plans and is a condition of enrollment. This requirement applies regardless of your plan type: for Fixed Plan members, auto-debit covers your monthly repayment installments; for Flexible Plan members, auto-debit covers Membership Fees, Membership Account funding transactions, and any other amounts due under this Agreement.
Other Linked Accounts
For Flexible Plan members (Spark, Ignite, and Bonfire tiers), Onfire Health provides the option of linking additional accounts to your Membership to provide additional payment flexibility and savings for certain purchases. For example, Members with a separate Health Savings Account (HSA) may link this account as a funding source for purchases of goods or services that are deemed as pre-tax or healthcare-eligible under Section 213(d) of the federal tax code.
Identity Verification and Fraud Detection
To help the government fight the funding of terrorism and money laundering activities, Federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account (sometimes known as a "Know Your Customer" or "KYC" verification process). When you open an Account, we may ask for your name, address, date of birth, social security number, and other information that will allow us to identify you. We may also ask to see your driver's license or other identifying documents.
Using Your Membership Account
Eligible Purchases
Your Membership Account is a financial account maintained by Onfire Health from which you may purchase eligible goods and services ("Eligible Purchases") as described in Exhibit A.
Spending Limit
Your Spending Limit in the Membership Account is set by you and disclosed at the time that you enroll, and the Spending Limit changes over time as you make Eligible Purchases or change your Membership to enhance or modify the level of products and services available to you. We may permit you (but are not required to allow you) to go over your Spending Limit. We will not charge interest for Eligible Purchases in excess of the Spending Limit. You are responsible for all purchases made on your Membership Account, including purchases that exceed the Spending Limit.
Eligible Purchases from Onfire Health Affiliates and Partners
The Membership Program provides access to a curated network of Onfire Health Affiliates and Partners who provide discounted goods and services designed to promote longevity and wellness as described in Exhibit A. As a Member, you are entitled to the discounts and unique offerings available from these Affiliates and Partners. When you make Eligible Purchases from these Affiliates and Partners, Onfire Health will pay them on your behalf from your Membership Account.
Recurring Payments for Eligible Purchases
Members can schedule recurring payments to Affiliates and Partners for subscription goods and services using the Onfire Health platform. Onfire Health will automatically make payments on your behalf to Affiliates and Partners in accordance with the pricing and payment plans made available by each applicable Affiliate or Partner.
Usage Restrictions
The Membership Account is only available for personal and Family use and not for business purposes. You may not use your Membership Account for illegal gambling or any other illegal transaction or purpose. We may deny a purchase transaction if we believe the purchase would violate this Agreement or applicable law.
Right to Decline, Unavailability
We may decline to authorize disbursements from the Membership Account for any reason. This may occur even if the purchase would not cause you to go over your Spending Limit or your Membership Account is not in default. We are not liable for any losses that may result when our services are unavailable due to reasons beyond our control.
8. Balance and Transaction Review
Your Spending Limit, Membership Account funding to date, and disbursements from the Membership Account are available through the Onfire Health website and/or mobile application ("Online Statement"). You may also agree to receive notifications through e-mail when purchases or funding transactions affect the balance and Spending Limit in your Membership Account. You agree to notify us promptly if you believe your Online Statement is unavailable or in error.
Change of Email
You must notify us promptly of any change in your email address by updating your email address through the Onfire Health website or mobile app. Until we receive, process, and verify your new email address, we will continue to send notifications to the last email address we have on file for your Membership.
9. Payments
Making Payments
You are required to make payment for fees and funding transactions to your Membership Account by automatic deduction from your linked bank account. You authorize us to debit your linked bank account for Membership Fees, Membership Account funding transactions, any purchases that are ineligible to be paid from your Membership Account, and other such amounts that are due from actions that you take within your Membership.
Application of Payments
We will generally apply any payments we receive to your outstanding Membership Account Balance in any manner that we deem appropriate. This means, for example, that we may apply your payment first to any overdue amounts and then to current purchases.
Membership Account Balance at Renewal or Termination
Any unused balance at the end of each membership year is your money, and we will provide you with options to use or receive a refund of any unused balance in your Membership Account at each anniversary of the Effective Date or when you cancel your membership. We do not pay any interest on any unused balance in your Membership Account.
10. Affiliates and Partners
A third-party Affiliate or Partner of Onfire Health may offer you its own products or services ("Affiliate Products"), which you may utilize pursuant to the Affiliate's terms. Affiliate Products are not governed by this Agreement, and we are not responsible for any Affiliate Products, nor do we make any representations or warranties regarding such Affiliate Products. To the fullest extent permitted by law, we are not liable for any Affiliate Products.
11. Lost or Stolen Account Credentials
If your Membership Account credentials, or any means of accessing your Membership Account, is lost or stolen, or if you think someone used or may use your Membership Account without your permission, notify us AT ONCE by emailing help@onfirehealth.com or through the Onfire Health app.
12. Closing Your Membership Account
You May Ask Us to Close Your Membership Account
You may ask us to close your Membership Account to new purchases at any time by emailing us at help@onfirehealth.com.
We May Close Your Membership Account
Except where prohibited by applicable law, we may close your Membership Account to purchases at any time, for any reason including Membership Account inactivity, and without prior notice.
Suspension or Closure Due to Default
Subject to restrictions of applicable law, you will be in default if any of the following events occurs:
- –We do not receive any payment required by this Agreement when such payment is due.
- –You are unwilling or unable to pay what you owe under this Agreement, for any reason.
- –You die, become insolvent, file for bankruptcy or otherwise become the subject of a bankruptcy petition or filing.
- –You give us false or misleading information at any time in connection with your Membership Account.
- –You breach or otherwise fail to comply with any term or condition of this Agreement.
- –We have reason to suspect unusual, suspicious, fraudulent or illegal activity on your Membership Account.
Our Rights After Default
In the event of default, we may suspend your ability to make new Advances with your Membership Account, close your Membership Account, require you to pay the unpaid balance in full or take any other action permitted by applicable law.
Collection Costs
If we refer any past due amounts you owe under this Agreement to a collection agency or lawyer for collection, you agree to pay our reasonable costs of collection, including collection agency fees, court costs and attorneys' fees actually incurred by us, to the fullest extent permitted by applicable law.
After Your Membership Account is Closed
After your Membership Account is closed, you may not make any new purchases. We will terminate any scheduled future payments to Onfire Health Affiliates and Partners on your behalf. We will return any unused balance in your Membership Account to you, less any fees owed to us and/or pending purchases made prior to the closure of your Membership Account.
13. Changing This Agreement
We may change this Agreement, including (for example) changing the addresses and telephone numbers you should use to contact us, changing fees, adding new fees, or increasing your required minimum payment. We may change this Agreement based on economic or market conditions, our business strategies or for any other reason. We will notify you of changes to this Agreement as required by applicable law.
14. Communications
Paperless
You acknowledge that your Membership Account is a paperless product. You agree to receive all Statements and other communications in electronic form, including by email, mobile app, text, or other electronic method that we offer. You may request a paper copy of your Statement by emailing us at help@onfirehealth.com.
Telephone Monitoring and Recording
You consent to and authorize us and any of our affiliates, agents and marketing associates to monitor and/or record any of your telephone conversations with any of our or their representatives for quality control, training and other lawful purposes.
Privacy
You authorize us to share information about you and your Membership Account and other third parties in accordance with our Privacy Notice. Please see our Privacy Notice for your choices about information sharing.
16. Governing Law
This Agreement shall be governed by the law of the State of California except to the extent preempted or governed by federal law.
17. Miscellaneous
Certain Waivers
To the fullest extent permitted by applicable law, you waive the right of "presentment" and "notice of dishonor." You also waive demand for payment, protest, notice of protest and all other notices and demands, to the fullest extent permitted by applicable law.
Assignment
We may assign your Membership Account and our rights under this Agreement to our affiliates or to some other financial institution or company without advance notice to you. You may not assign or transfer your Membership Account or any of your responsibilities under this Agreement to any other person.
No Security
Your Membership Account is unsecured. We are not taking a security interest in any property in connection with your Membership Account.
Severability
If any part of this Agreement is held to be invalid, the rest will remain in effect.
Entire Agreement
The Agreement is the entire agreement between you and us relating to your Membership Account and replaces any other agreement relating to your Membership Account that you and we made earlier or at the same time.
18. Billing Rights

What To Do If You Find a Mistake in Your Membership Account
If you think there is an error in the application of transactions in your Membership Account or any linked account, you may notify us via the Onfire Health app, or write to us by email at help@onfirehealth.com. In your correspondence, please provide: (a) your name and phone number; (b) the dollar amount of the suspected error; (c) a description of what you believe is wrong and why.
You must contact us within 60 days after the error appeared in your Online Statement, and at least 3 Business Days before an automated payment is scheduled if you want to stop payment on the amount in question.
What Will Happen After We Receive Your Notice
- –Within 30 days of receiving your notice, we must tell you that we received it. We will also tell you if we have already corrected the error.
- –Within 90 days, we must either correct the error or explain to you why we believe the Statement is correct.
- –While we investigate, we cannot try to collect the amount in question or report you as delinquent on that amount.
- –If we made a mistake, you will not have to pay the amount in question. If we do not believe there was a mistake, we will send you a statement of the amount you owe and the date payment is due.
19. State Disclosures
Iowa, Missouri, Nebraska, and Texas Residents: Oral agreements or commitments to loan money, extend credit or forbear from enforcing repayment of debt are not enforceable. Any agreements covering such matters are contained in this writing.
Kentucky Residents: You may pay the unpaid balance of your Account as a whole or in part at any time.
New Jersey Residents: Because certain provisions of this Agreement are subject to applicable law, they may be void, unenforceable or inapplicable in some jurisdictions. None of these provisions, however, is void, unenforceable or inapplicable in New Jersey.
Married Wisconsin Residents: If you are married, you confirm that this credit is being incurred in the interest of your marriage or family. Please contact us at help@onfirehealth.com for full disclosure requirements.
20. Arbitration
Important Notice
THIS ARBITRATION PROVISION AFFECTS YOUR RIGHTS. PLEASE READ CAREFULLY. EXCEPT AS OTHERWISE NOTED, CAPITALIZED TERMS HAVE THE MEANING SPECIFIED IN THIS AGREEMENT.
Except as otherwise explicitly provided, Onfire Health and you can elect to resolve any past, present or future dispute or claim ("Dispute") arising from or relating in any way to your Account or this Agreement by binding arbitration under the Consumer Arbitration Rules ("the Consumer Rules") of the American Arbitration Association ("AAA"), rather than in court.
"Dispute" broadly includes, without limitation: any claims based in contract, statute, ordinance, tort, fraud, consumer rights, misrepresentation, equity or any other legal theory; initial claims, counterclaims, cross-claims and third-party claims; and federal, state and local claims.
The Federal Arbitration Act ("FAA") and federal arbitration law apply to this Arbitration Provision. An arbitrator can award an individual the same damages and relief as a court and must apply applicable substantive law. Any judgment on the award rendered by the arbitrator will be final and may be entered in any court of competent jurisdiction.
Important Notice
YOU UNDERSTAND THAT ABSENT YOUR CONSENT TO ARBITRATION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A TRIAL BY JURY.
Class Action Waiver
You and Onfire Health each agree that any arbitration will be conducted only on an individual basis and not as a class, consolidated or representative action. To the fullest extent permitted by law: (a) no arbitration will be joined or consolidated with any other; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis; and (c) no arbitrator shall have the authority to issue any relief that applies to any person other than you individually.
Right to Opt Out
If you do not want this Arbitration Provision to apply, you must send Onfire Health a signed written notice within 30 calendar days of the date on which you electronically sign this Agreement.
