Membership Terms of Service
Onfire Health, Inc. · Version 3 · June 2026
Important Notice
This Membership Agreement includes terms to arbitrate and consent to electronic communications. It governs your access to and use of services provided by Onfire Health, Inc. Please read carefully before using the Services. By accessing or using the Services you agree to be bound by these Terms.
Important Notice
THIS AGREEMENT IS SUBJECT TO MANDATORY ARBITRATION PURSUANT TO THE FEDERAL ARBITRATION ACT AND A WAIVER OF CLASS ACTION AND JURY TRIAL. PLEASE CAREFULLY READ SECTION 20 (ARBITRATION).
1. Membership
Member hereby agrees to enroll and use the Onfire Health solution ("Membership Program") beginning on the Effective Date of your Membership. Enrollment in certain bundle subscriptions is subject to the verification and review procedures described in Section 6. Member shall be eligible to receive certain discounts, access to health program bundles, monthly subscription payment plans, and other solutions described in the Onfire Health Plan Terms ("Membership Services"), which are incorporated into this Agreement by reference and published at onfirehealth.com/plan-terms. Onfire Health may expand, reduce, or otherwise modify the Membership Services from time to time with notice to Members.
2. Membership Fees
Where applicable to your Membership Plan, the Member agrees to pay an optional annual fee ("Membership Fee") in accordance with the Onfire Health published pricing for your specific plan tier. Membership Fees apply to Flex Plan members only and are not applicable to Fixed Plan (Ember) members. Membership Fees are subject to discount or change upon notice to Members as described in Section 13 of this Agreement. If a Membership Fee applies to your plan, it shall be disclosed and due upon enrollment in the Membership Program and at each anniversary of the Effective Date.
3. Onfire Health Membership Account
Upon enrollment, Onfire Health will establish an Onfire Health Membership Account ("Membership Account") for your use. The Membership Account reflects your subscription payment contributions and allows you to access eligible health program bundles and services from a curated network of Onfire Health Partner Clinicians and Practitioners ("Partner Clinics") as described in the applicable Plan Terms.
Member contributions to the Membership Account are non-fungible and may only be applied toward eligible health program bundles and services offered by Onfire Partner Clinics through the Onfire platform. Membership Account contributions may not be transferred to other individuals, converted to general cash, or applied to any goods or services outside the Onfire partner network, except as described in Section 9 (Refund at Termination).
Onfire Health holds Member contributions in a segregated bank account maintained in the name of Onfire Health members, separate from Onfire Health's own operating funds. Onfire pays Partner Clinics from this segregated account, net of applicable Onfire Health fees and expenses.
Onfire Health offers two categories of Membership Plan, each with a different structure for contributions and access, as described in the Plan Terms.
4. Linked Bank Account
By accepting this agreement, you authorize Onfire Health to collect amounts owed to us through a linked bank account ("Linked Bank Account") via ACH debit ("Member Debit"). Member Debit from a Linked Bank Account is required for all Membership Plans and is a condition of enrollment. This requirement applies regardless of your plan type: for Fixed Plan (Ember) members, Member Debit covers your monthly subscription payments; for Flex Plan members, Member Debit covers optional Membership Fees, Membership Account subscription payment contributions, and any other amounts due under this Agreement.
5. Other Linked Accounts
For Flex Plan members (Spark, Ignite, and Bonfire tiers), Onfire Health provides the option of linking additional accounts to your Membership to provide additional payment flexibility and savings for certain purchases. For example, Members with a separate Health Savings Account (HSA) may link this account as a funding source for purchases of goods or services that are deemed as pre-tax or healthcare-eligible under Section 213(d) of the federal tax code.
6. Identity Verification, Fraud Detection, and Ability-to-Pay Review
6.1 Identity Verification (KYC)
To help the government fight the funding of terrorism and money laundering activities, Federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account (sometimes known as a "Know Your Customer" or "KYC" verification process). When you open a Membership Account, we will ask for your name, address, date of birth, Social Security Number, and other information that will allow us to identify you. We may also ask to see your driver's license or other identifying documents. The Membership Account will not be activated until Onfire Health has completed KYC identity verification for the member.
6.2 Ability-to-Pay Review for Larger Bundle Subscriptions
When this review applies. If you select an Onfire Health bundle subscription with a total value exceeding $10,000, we will perform a limited ability-to-pay review before activating your enrollment in that bundle. The purpose of this review is to confirm that the subscription you have selected is affordable for you, so that you are not placed into a payment schedule you cannot complete.
What the review involves; your authorization. By enrolling in a bundle subscription that exceeds $10,000 in value, you authorize Onfire Health to obtain a consumer report about you from Plaid Check, Inc., a consumer reporting agency ("CRA"), consisting of income verification information and information about your linked bank account, including its current balance. We use this information solely to assess your ability to pay for the bundle subscription you have selected.
This is not a credit check. This review is not a credit inquiry. We do not request your credit score or a traditional credit report, no credit bureau is contacted, and the review will not appear as an inquiry on your credit file or affect your credit rating in any way.
If we cannot approve your bundle subscription. If we decline to enroll you in a bundle subscription based in whole or in part on information contained in a consumer report, we will provide you with a notice that includes: (a) the name, address, and telephone number of the consumer reporting agency that furnished the report (Plaid Check, Inc.); (b) a statement that the consumer reporting agency did not make the decision and cannot explain the reasons for it; (c) notice of your right to obtain a free copy of your consumer report from that agency within 60 days; and (d) notice of your right to dispute the accuracy or completeness of any information in the report directly with the agency. Declining a specific bundle subscription does not necessarily prevent you from selecting a different bundle or from otherwise participating in the Membership Program.
7. Using Your Membership Account
Eligible Purchases
Your Membership Account reflects your subscription payment contributions, which you may use to access eligible health program bundles and services ("Eligible Purchases") as described in Exhibit A and in the Plan Terms.
Spending Limit
Your Spending Limit in the Membership Account is set at the time you enroll, based on your selected plan tier and health program bundle. The Spending Limit may change over time as you make Eligible Purchases or modify your Membership. We may permit you (but are not required to allow you) to exceed your Spending Limit. You are responsible for all purchases made on your Membership Account, including purchases that exceed the Spending Limit.
Eligible Purchases from Onfire Health Partner Clinics
The Membership Program provides access to a curated network of Onfire Health Partner Clinicians and Practitioners who offer discounted health program bundles and services designed to promote longevity and wellness, as described in Exhibit A. As a Member, you are entitled to the discounts and unique offerings available from these Partner Clinics. When you make Eligible Purchases from Partner Clinics, Onfire Health pays them on your behalf from the segregated member funds account, net of applicable Onfire Health fees.
Recurring Payments for Eligible Purchases
Members can schedule recurring payments to Partner Clinics for subscription health program bundles and services using the Onfire Health platform. Onfire Health will automatically make payments on your behalf to Partner Clinics in accordance with the pricing and payment plans made available by each applicable Partner Clinic.
Usage Restrictions
The Membership Account is only available for personal and Family use and not for business purposes. You may not use your Membership Account for illegal gambling or any other illegal transaction or purpose. We may deny a purchase transaction if we believe the purchase would violate this Agreement or applicable law.
Right to Decline; Unavailability
We may decline to authorize disbursements from the Membership Account for any reason. We are not liable for any losses that may result when our services are unavailable due to reasons beyond our control.
8. Balance and Transaction Review
Your Spending Limit, Membership Account contribution balance, and disbursements from the Membership Account are available through the Onfire Health website and/or mobile application ("Online Statement"). You may also agree to receive notifications through e-mail when purchases or funding transactions affect your Membership Account. You agree to notify us promptly if you believe your Online Statement is unavailable or in error.
Change of Email
You must notify us promptly of any change in your email address by updating your email address through the Onfire Health website or mobile app. Until we receive, process, and verify your new email address, we will continue to send notifications to the last email address we have on file.
9. Payments and Contributions
Making Payments
You are required to make subscription payments and contributions to your Membership Account by automatic Member Debit from your Linked Bank Account. You authorize us to debit your Linked Bank Account for optional Membership Fees (Flex Plans only), Membership Account subscription payment contributions, and any other amounts that are due under this Agreement.
Application of Payments
We will generally apply any payments we receive to your outstanding Membership Account balance in any manner that we deem appropriate, including applying payments first to any overdue amounts and then to current purchases.
Membership Account Contributions — Non-Fungible; Restricted Use
Member contributions to your Membership Account are non-fungible and may only be applied toward eligible health program bundles and services offered by Onfire Partner Clinics through the Onfire platform. Contributions may not be transferred to other individuals, converted to general cash, or used outside the Onfire partner network for any reason other than as described under Refund at Termination below.
Refund at Termination
Upon termination of your Onfire Membership, any unused Membership Account contributions will be returned to you via ACH credit ("Member Credit") to your Linked Bank Account, net of any fees owed to us and any pending service payments made prior to termination. This is the sole circumstance under which unused Membership Account contributions will be returned as cash. Refunds are not available mid-term or at any other time during the membership. Onfire Health does not pay interest on any Membership Account balance.
Credit Card Surcharge
If you choose to pay by credit card — whether for a one-time pay-in-full payment or for your recurring monthly subscription payments — a surcharge of up to 2% of the credit card payment amount will be added to that payment. This surcharge is not greater than our cost of accepting credit cards and applies only to payments made by credit card. For recurring subscription payments made by credit card, the surcharge applies to each payment, and you authorize us to charge it on each billing cycle until you change your payment method. We do not add a surcharge to any payment made from your linked bank account (ACH), or to payments made with a debit card, prepaid card, or HSA/FSA. We do not impose the surcharge where it is prohibited by applicable law, and we limit it where applicable law caps it. The exact surcharge amount will be shown to you as a separate line item before you authorize the payment and on each receipt. You can avoid the surcharge by paying from your linked bank account (ACH).
10. Partner Clinics
A Partner Clinic of Onfire Health may offer you its own health program bundles and services ("Partner Products"), which you may utilize pursuant to the Partner Clinic's terms. Partner Products are not governed by this Agreement, and we are not responsible for any Partner Products, nor do we make any representations or warranties regarding such Partner Products. To the fullest extent permitted by law, we are not liable for any Partner Products.
11. Lost or Stolen Account Credentials
